Terms and Conditions of Use

A - Introduction These terms of sale (hereinafter referred to as "General Conditions") govern the sale of products marketed by www.licensesok.com. All purchase contracts for products concluded through the website www.licensesok.com and in accordance with the procedures indicated therein, between the seller and the Customer, will be governed by these General Conditions. All published prices include VAT.

B - Acceptance of the Sales Conditions

The contract concluded between Licenses Ok and the Customer is considered finalized with the acceptance, even partial, of the order by Licenses Ok, which reserves the right, at its sole discretion, to accept the order. The acceptance is considered implicit if not otherwise communicated in any way to the Customer. By placing an order in the manner provided, the Customer declares to have read all the information provided during the purchase procedure and to fully accept the following general terms and conditions of payment. If the Customer is a final consumer (i.e., a natural person who purchases goods for purposes unrelated to their professional activity), once the online purchase procedure is completed, they must print or save an electronic copy and, in any case, keep these general sales conditions, in compliance with the provisions of Articles 3 and 4 of Legislative Decree no. 185/1999 on distance selling. Any right of the Customer to compensation for damages or indemnity, as well as any contractual or non-contractual liability for direct or indirect damages to people and/or property, caused by the partial or total non-acceptance of an order, is excluded.

C - Purchase Procedure

The Customer can only purchase the products present in the electronic catalog of licensesok.com at the time of placing the order and visible at www.licensesok.com, as described in the relevant information sheets. The technical information included on the www.licensesok.com website faithfully reproduces the ones provided by the manufacturers of the goods included in the catalog. Licenses Ok reserves the right to modify the technical information of the products to align them with those provided by the manufacturers, without any prior notice. It is understood that the image accompanying the descriptive sheet of a product may not be perfectly representative of its characteristics and may differ in color, size, and accessories shown in the image. All purchase support information (Glossary, Purchase Guide, etc.) should be considered as general informative material, not necessarily reflecting the actual characteristics of each product. The correct receipt of the order is confirmed by Licenses Ok through a reply via email, sent to the email address provided by the Customer. This confirmation message will contain the Date and Time of receipt of the order and a 'Customer Order Number,' to be used in any further communication. The message will repeat all the data entered by the Customer, who undertakes to verify its correctness and promptly communicate any corrections according to the methods described in this document. The Customer can also check the status of their order by accessing the web area dedicated to them under the "Order Status" section. In the event of non-acceptance of the order, Licenses Ok undertakes to promptly notify the Customer. The Customer may request the cancellation of the order until the moment it is being prepared in the warehouse. The order status is clearly visible in the "Order Status" section of their Personal Area. The order can no longer be canceled if the indication "Order in process" appears. All prices on the website are to be understood as public prices and, therefore, inclusive of VAT. Licenses Ok reserves the right to change prices at any time without notice. If an incorrect or clearly ridiculous price is published, for any reason (error in our systems, human error, etc.), the order will be canceled, even in case of initial validation. On the website www.licensesok.com, the quantities of products available at the time of the order are visible. Since simultaneous access by many users and online orders can modify the availability of the product, Licenses Ok does not guarantee the certainty of the assigned merchandise. On certain products subject to price promotions, Licenses Ok reserves the right to accept orders by reducing the quantities, subject to prior communication and acceptance by the Customer, in the absence of which the order will be considered canceled.

D - Payment Methods

Bank Transfer in Advance In the case of payment by Bank Transfer in Advance, the shipment of the ordered goods will take place only after the actual credit has been received in the Licenses Ok bank account, which must occur within 5 working days from the date of order acceptance. After this period, the order will be automatically canceled. The reason for the bank transfer must include the order identifier, which is issued in the order confirmation email. The bank details for making transfers are provided in the order confirmation email.

Credit Card In the case of purchasing goods with a Credit Card payment method, at the same time as concluding the online transaction, the reference bank authorizes only the commitment of the amount related to the purchase made. The amount corresponding to the goods shipped will be charged to the Customer's credit card at the time of the actual dispatch of the ordered goods. The accepted credit cards are all those that rely on the Visa, Maestro, and Mastercard circuits. In the event of order cancellation, either by the Customer or due to non-acceptance by Licenses Ok, the latter will request the cancellation of the transaction and the release of the amount committed. Order cancellation is possible until the order is still being prepared in the warehouse. Release times, for some types of cards, depend exclusively on the banking system and may reach their natural expiration (24th day from the date of authorization). Once the transaction cancellation has been requested, in no case can Licenses Ok be held responsible for any direct or indirect damages caused by a delay in the release of the amount committed by the banking system.

Licenses Ok reserves the right to request additional information from the Customer (e.g., landline phone number) or the sending of documents proving the ownership of the Credit Card used. In the absence of the requested documentation, Licenses Ok reserves the right not to accept the order.

At no time during the purchase process does Licenses Ok become aware of information related to the buyer's credit card, as these are entered directly on the site of the bank managing the transaction (with very high-security systems); since there is no data transmission, there is no possibility of this data being intercepted. No Licenses Ok computer archive contains or stores such data. Therefore, under no circumstances can Licenses Ok be held responsible for any fraudulent or improper use of credit cards by third parties when paying for products purchased on www.licensesok.com.

Prepaid Credit Card In the case of a purchase with a Prepaid Credit Card, the Customer enters the identifying numbers of the card; at the same time as the online transaction is concluded, the reference bank authorizes only the commitment of the amount related to the purchase made. The amount corresponding to the shipped goods will be charged to the Customer's credit card at the time of the actual dispatch of the ordered goods. In the event of order cancellation, either by the Customer or due to non-acceptance by Licenses Ok, the latter will request the cancellation of the transaction and the release of the committed amount. The cancellation of the order is possible until the order is still being prepared in the warehouse. The release times, for some types of cards, depend exclusively on the banking system and may reach their natural expiration (24th day from the date of authorization). Once the transaction cancellation has been requested, under no circumstances can Licenses Ok be held responsible for any direct or indirect damages caused by a delay in the release of the amount committed by the banking system.

PayPal If you choose this payment method, you will be redirected during the Order Issuance Procedure to the PayPal login page to complete the Order correctly.

If you decide to cancel the Order within the limits allowed by law or the General Conditions, or Licenses Ok, due to exceptional circumstances beyond its control, cannot proceed with your Order, the charged amount will be refunded to your PayPal account.

We remind you that at no time during the Procedure does Licenses Ok become aware of your PayPal account information; since there is no transmission of data, there is no possibility that these data can be intercepted, known, or knowable by Licenses Ok. Therefore, no Licenses Ok computer archive contains or stores such data. For every payment or commitment made with the PayPal account, you will receive a confirmation email from PayPal, not from Licenses Ok.

E - Delivery Methods Licenses Ok can only accept orders trough the e-commerce website and sends the license within a few hours after the order is received.

Electronic ESD version: after payment, the customer will receive, by email, the license and instructions for its use.

For every order placed on www.licensesok.com, Licenses Ok issues an invoice for the shipped material. For the issuance of the invoice, the information provided by the Customer at the time of the order is used. No changes to the invoice will be possible after it has been issued.

F - Product Warranty All products benefit from a warranty that covers the validity period of the license. All licenses sold as Used Licenses enjoy a maximum warranty of 24 months. If the customer decides to return a license that has obviously not been activated, they can choose whether to replace it with another product or receive a 100% refund of the purchased product. If the customer encounters any problems with the license, they must provide all the necessary information to allow us to test the license, by sending an email to info@licensesok.com, including the activation code sent by Licenses Ok and, if possible, some screenshots of the error to resolve the issue promptly. For any other requests or information about license issues, always contact us via email at info@licensesok.com.

G - Right of Withdrawal

Pursuant to Articles 64 and following of Legislative Decree No. 206/2005, www.licensesok.com Customers can decide to withdraw from the purchase made, for any reason and without penalty, provided, of course, that the code has not been activated, whether they use a Tax Code or VAT number for the order. If a VAT number is used, withdrawal is allowed only for purchases intended for personal use and not for resale purposes. It is not possible to return any product or license if it has been activated. The withdrawal must be made within 14 working days from the sending of the license via email, by sending an email to info@licensesok.com where the customer assumes all responsibility, indicating that the code has never been activated and will never be used, and the customer will be required to delete the email with the activation code sent by www.licensesok.com.

H - Privacy Reference Section Privacy European Union no. 679/2016 ( "GDPR") The personal data requested when placing the order are collected by Licenses Ok and processed on IT supports in order to fulfill the obligations arising from the contract concluded with you. Licenses Ok guarantees compliance with the legislation on the protection of personal data, governed by Regulation EU 679/2016 (hereinafter "GDPR") and the privacy code set out in Legislative Decree No. 196 of 30.06.03, as amended by Legislative Decree 101/2018. For any information regarding the processing of your personal data, we invite you to read the privacy notice published on the Licenses Ok website (Privacy Policy), which also describes the rights regarding the protection of personal data that you can exercise by writing to info@licensesok.com. The data controller is Licenses Ok, Via Fratti, 155, 61122 - Pesaro.

I - Jurisdiction and Applicable Law The sales contract between the Customer and Licenses Ok is understood to be concluded in Italy and governed by Italian law. For the resolution of civil and criminal disputes arising from the conclusion of this distance sales contract, if the Customer is a consumer, the territorial jurisdiction is that of the court of their place of residence; in all other cases, the exclusive territorial jurisdiction is that of the Court of Pesaro.

L - Conditions The conditions contained in this document may be modified by Licenses Ok without any notice and will be valid from the date of publication on the www.licensesok.com website.

M - Online Dispute Resolution for Consumers European consumers must be aware that the European Commission has established an online platform that provides an alternative dispute resolution tool. This tool can be used by European consumers to resolve non-judicially any dispute relating to and/or arising from online sales contracts for goods and services. Consequently, if you are a European consumer, you can use this platform to resolve any dispute arising from the online contract with the Owner.
